NASW Business Meeting

If you aren't planning to attend the NASW Annual Meeting at 8 a.m. Saturday, Oct. 27, at the Raleigh Convention Center, please take a moment to cast your proxy on the following bit of business today.

During the meeting itself, we will present the Diane McGurgan Award, update members on committee activities, budgets, and welcome new business. Stay tuned to nasw.org following the meeting for minutes and updates.

Certificate of Amendment to the National Association of Science Writers Certificate of Incorporation

NASW is a not-for-profit corporation registered in the state of New York. Our Certificate of Incorporation was filed in 1954, and it is time to amend it to update NASW's mailing address and the number of board members. This is nowhere near as extensive or as full of implications as the comprehensive update of the bylaws we did several years ago, but it still requires a vote of the membership.

Please login to the NASW web site using your member ID, then go to https://www.nasw.org/approval-certificate-amendment to cast your proxy before Saturday, Oct. 27. Online you will see links to the Certificate itself and the proposed Certificate of Amendment. The Proxy is a simple Yes or No on the acceptance of the amending of the certificate.

What are the changes?
- NASW's mailing address
- Number of board members: As the association has grown over the last 50 years, so has the number of board members to increase representation. Rather than an absolute number given in the Certificate, the clause is changed to note that the number of board members is determined by the bylaws. This keeps the two documents in sync with each other.
